# General Sales Conditions

## Prices

- CUE, a.s. only issues CUE Official Price List.
- The prices are quoted in MSRP (Manufacturer Suggested Retail Price).

## Payment conditions

- The payments are made by bank transfer.
- At the first orders, CUE, a.s. requires 100% of the total amount in advance.
- All recurring annual subscriptions and services (maintenance) will be automatically invoiced in advance on time. Please be aware of that and proceed with such invoices as usual.
- For long-term cooperation, the invoice due payment date is 30 days after the invoice was issued.
- CUE, a.s. expects to receive the payment within the period of the invoice issuance date and the due date. Payment sent after the invoice was due is viewed as past due.
- In case of non-payment within 30 days, an extra interest for delayed payment of 0.05% will be charged every day of the delay.

## Transport

- CUE’s primary forwarding company is TNT Express, at which CUE was offered favorable prices/discounts and conditions for transport. After receiving the invoice from TNT, the costs for transport are invoiced to the reseller. If you decide to have your shipments insured, the insurance cost is 1% of the actual shipment value. This only applies to TNT Express and is also invoiced to the reseller.
- You are also welcome and encouraged to arrange for your own forwarder, but the costs of transportation and insurance depend on the conditions you have agreed on with your forwarder.

# Terms of Delivery

- Cue System delivery term is within two to six weeks after receiving the firm order from the reseller.
- The order confirmation with the quoted delivery date is returned to the reseller the next day after receipt.

# Loan Conditions

- The borrower is an authorized CUE Reseller. For the purposes of these terms, shall be referred to as the Reseller.
- The Reseller must submit the required devices list at least one month before delivery.
- CUE will guarantee that the devices are without malfunctions or damage. The Reseller will be responsible for installing and operating the loaned devices.
- Should the Reseller need support from CUE technicians to install or operate the loaned devices, their transport and time will be charged to the Reseller. The prices of services are set in a valid price list.
- The devices will be returned in the same condition as loaned, without consequential faults or damage. Should defective devices be returned the costs for repair will be charged to the Reseller.
- The sender shall pay transport costs, i.e. CUE, a.s. pays outwards, and Reseller pays inwards. TNT is the preferred transport company.
- All shipments to and from the Czech Republic must conform to European Union Customs regulations by following the guidance of CUE.
